Welcome to PrimeCouple.com.ng (“the Platform,” “we,” “us,” or “our”). The Platform is an online marriage matchmaking service operating in Nigeria, designed to connect individuals seeking marriage (“Members”).
By accessing, registering for, or using the Platform, you (“you,” “your,” or “User”) agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully. If you do not agree to all of these Terms, you must not use the Platform.
1. Eligibility and Registration
· Minimum Age: You must be at least 18 years of age to register and use the Platform.
· Legal Capacity: You must have the legal capacity to enter into a binding contract under Nigerian law.
· Marital Status: You must be single, legally divorced, or widowed and genuinely seeking a marital relationship. You agree not to misrepresent your marital status.
· Accuracy of Information: You agree to provide accurate, current, and complete information during registration and in your profile. You must promptly update your information to maintain its accuracy.
· One Account: You may only maintain one active account. You are responsible for all activities that occur under your account and must keep your login credentials secure.
· Verification: We may use reasonable means to verify your information but cannot and do not guarantee the authenticity of any Member. You are solely responsible for your interactions with other Members.
2. User Conduct and Prohibited Activities
You agree to use the Platform lawfully and respectfully. You expressly agree NOT to:
· Post any false, misleading, inaccurate, or fraudulent information.
· Harass, intimidate, bully, defame, or abuse any other Member.
· Post any content that is unlawful, obscene, discriminatory, hateful, or infringes on any third-party rights (including intellectual property or privacy rights).
· Use the Platform for any commercial purposes, including solicitation, prostitution, or human trafficking.
· Transmit any viruses, malware, or any destructive code.
· Attempt to gain unauthorized access to the Platform, other accounts, or our systems.
· Use the Platform for any illegal purpose, including romance scams (“Yahoo-Yahoo”), advance-fee fraud, or any activity prohibited by the Cybercrimes (Prohibition, Prevention, etc.) Act 2015 and other Nigerian laws.
· Circumvent or attempt to circumvent any fees or access controls on the Platform.
3. Profile Content and Intellectual Property
· Your Content: You retain ownership of the content you submit to your profile (“Your Content”). However, by posting it, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and reproduce Your Content solely for the purpose of operating and promoting the Platform.
· Proprietary Rights: The Platform’s logo, design, text, graphics, and software are owned by or licensed to PrimeCouple.com.ng and are protected by copyright and trademark laws. You may not copy, modify, or distribute any part of the Platform without our express written permission.
· Removal: We reserve the right, but not the obligation, to review, edit, or remove any user content that we deem, in our sole discretion, to violate these Terms.
4. Privacy
Your privacy is important to us. Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to such processing.
5. Subscription and Payments
· Fees: Access to certain features of the Platform may require payment of subscription fees (“Premium Services”). All fees will be clearly displayed and are in Nigerian Naira (NGN).
· Payment Processing: We use third-party payment processors. You agree to provide accurate payment information and authorize us to charge the specified fees.
· Refunds: Subscription fees are generally non-refundable, except as required by Nigerian law or at our sole discretion. Please choose your subscription plan carefully.
· Taxes: You are responsible for any applicable taxes.
6. Disclaimer of Warranties and Limitation of Liability
· Service “As Is”: The Platform is provided on an “as is” and “as available” basis. We do not guarantee that the service will be uninterrupted, secure, or error-free. We do not conduct background checks on Members.
· No Liability for Conduct: We are not responsible for the conduct, online or offline, of any User of the Platform. You are solely responsible for your interactions and meetings with other Members. You should exercise caution and perform your own due diligence.
· No Guarantee of Results: We do not guarantee that you will find a match, receive proposals, or enter into a marriage through the Platform.
· Limitation of Liability: To the fullest extent permitted by law, PrimeCouple.com.ng, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Platform, even if we have been advised of the possibility of such damages.
· Maximum Liability: Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the amount you have paid us in the last 12 months.
7. Indemnification
You agree to indemnify, defend, and hold harmless PrimeCouple.com.ng and its affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (i) your use of the Platform; (ii) your violation of these Terms; (iii) your interaction with any Member; or (iv) your violation of any law or the rights of a third party.
8. Termination
· We may, at our sole discretion, suspend or terminate your account and access to the Platform at any time, without notice, for conduct we believe violates these Terms, is harmful to other Users, or for any other reason.
· You may terminate your account at any time by using the account settings or contacting us.
· Upon termination, your right to use the Platform ceases immediately.
9. Governing Law and Dispute Resolution
· Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
· Amicable Settlement: The Parties shall first attempt to settle any dispute arising from these Terms amicably through good-faith negotiations.
· Mediation/Arbitration: If the dispute is not resolved amicably within 30 days, it shall be referred to mediation. If mediation fails, it shall be finally settled by arbitration in accordance with the Arbitration and Conciliation Act of Nigeria. The seat of arbitration shall be [Lagos State, Nigeria].
· Jurisdiction: Notwithstanding the above, you agree that we may seek injunctive relief in the courts of Nigeria to prevent the actual or threatened infringement of our intellectual property rights.
10. General Provisions
· Modifications: We reserve the right to modify these Terms at any time. We will notify you of material changes via email or a notice on the Platform. Your continued use after such notification constitutes acceptance of the new Terms.
· Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
· Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PrimeCouple.com.ng regarding the Platform.
